CodeBase Software License Agreement

This is a legal agreement between you (either a person or other legal entity) and Sequiter Software Inc. (Sequiter). By using or installing the software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, promptly return in reasonable condition the software package and any accompanying items to the place of purchase for a refund.

1.Definitions

All definition references refer to the defined item regardless of whether the formal definition appears after the term is first used.

Distributable Executable Software: This is all Executable Software except for the LicenseStamp.EXE program.

Distributable High Connection Server Engine Software: This is Server Engine Software whose technical restriction limit exceeds ten (10) simultaneous connections not counting Special Unlimited Java Connections.

Distributable Server Engine Software: This is Server Engine Software that is technically restricted to a maximum of ten (10) simultaneous connections not counting Special Unlimited Java Connections.

Distributable Loadable Software: This is all Loadable Software except for the Server Engine Software.

Distributable Software: This is Distributable High Connection Server Engine Software, Distributable Server Engine Software, Distributable Executable Software, and Distributable Loadable Software.

Executable Software: This is a Machine Code form of the Licensed Software that is contained in an executable file. Under Microsoft Windows the name extension of executable software is ".EXE".

Licensed Operating Systems: The licensed operating systems are listed along with your serial number label which comes with this software package. You agree to retain this serial number label as proof of which operating systems are licensed. If no operating systems are specified on the serial number label, the Licensed Operating Systems consist of the DOS and the Microsoft Windows operating systems.

Licensee Software Component: This is any software component of the Licensee's application that could directly, indirectly or in any other way use the Licensed Software.

Licensee Software Developer: This is any individual who has either directly or indirectly worked on a Licensee Software Component.

Licensed Software: This is the computer programs, owned by Sequiter or it's suppliers, contained in the CodeBase software package. These programs could be represented in any form such as printed or electronic versions of source code, object modules, library files, dynamic link libraries, or executable programs. It includes the CodeReporter and CodeControls software that may be bundled with CodeBase.

Loadable Software: This is a Machine Code form of the Licensed Software that is contained in a DLL, VBX or OCX file. Under Microsoft Windows the name extensions of DLL, VBX and OCX files are ".DLL", ".VBX" and ".OCX" respectively.

Machine Code: This is a form of software that is directly understood by the computer hardware and is generated by a compiler from source code.

Marking Procedure: This is a special procedure in which the LicenseStamp.exe program contained as part of the Licensed Software is run and the directions are accurately followed for the purpose of changing a component of the Licensed Software so that it will only work with Licensee Software Components. (Typically the LicenseStamp.exe program is placed in the \CODEBASE\BIN subdirectory at install time.)

OLE DB Loadable Software: This is Loadable Software that has the purpose of supporting the OLE DB application programmer interface specification.

Server Engine Software: This is Executable Software or Loadable Software that participates in responding to remote database requests originating from a separate client computer.

Special Unlimited Java Connections: These are connections to the Server Engine Software made by an application using the Java API as documented in Sequiter's Java Reference Guide.

2. Development License

Sequiter grants to you, and you hereby accept, a non-exclusive Development License to use the Licensed Software at a single location for the purpose of allowing not more than one person to develop custom software applications subject to the conditions and restrictions specified in this agreement. You agree to install the client portion of the licensed software on not more than two computers and the rest of the licensed software on not more than one computer for the purpose of allowing not more than one person to develop applications using the Licensed Software.

3. Distribution

3.1 You may distribute Distributable Software without royalty payment to any person or legal entity (hereinafter referred to as the "Sub-Licensee") under a license agreement (hereinafter referred to as the "Sub-License Agreement") provided that you adhere to all the terms and conditions contained herein.

3.2 You agree that the Sub-License Agreement shall be governed by a reasonable and appropriate jurisdiction that recognizes and is able to materially enforce all of the terms and conditions contained herein.

3.3 You agree that the Sub-License Agreement shall restrict the Sub-Licensee from doing computer programming using a Licensee Software Component or any Licensed Software distributed under this agreement.

3.4 You agree that the Sub-License Agreement shall restrict the Sub-Licensee from modifying, disassembling, decompiling or reverse engineering any Server Engine Software distributed under it.

3.5 You agree that the Sub-License Agreement shall not contain any clauses which negates or circumvents any of the terms or conditions contained herein.

3.6 You specifically agree not to distribute any files or information whose purpose or effect is to give programmer access to the Licensed Software.

3.7 You agree not to distribute Distributable High Connection Server Engine Software unless you have marked it with the Marking Procedure and you have paid additional license fees in accordance with current Sequiter pricing policy. In this case, Sequiter will provide a serial number along with a receipt or invoice number that you agree to retain as proof of being properly licensed.

3.8 You agree not to distribute OLE DB Loadable Software unless you have marked it with the Marking Procedure.

3.9 You agree to cooperate with Sequiter in a reasonable and appropriate way should Sequiter conduct any investigations it deems necessary to ensure that this license agreement is being adhered to.

3.10 You may not distribute any other form of the Licensed Software except as expressly provided herein.

4. Limited Use

4.1 You agree to only use the Licensed Software under the Licensed Operating Systems.

4.2 You agree that the Licensee Software Components shall not expose any computer programming capabilities.

4.3 From technical, legal, marketing and distribution perspectives you agree not act in a way which specifically enables your customers to do computer programming using Licensed Software distributed under the terms and conditions of this agreement.

4.4 Not to limit any remedies that may be at Sequiter's disposal, should evidence surface which indicates that your customers are doing computer programming directly or indirectly using Licensed Software distributed under this agreement, you agree to cooperate with Sequiter to ensure this does not happen in the future.

4.5 You agree not to indirectly or directly use CodeBase for the purposes of producing a software product that competes with CodeBase. 

5.  Licensed Software Changes

5.1 Any changes you make to the Licensed Software shall be considered part of the Licensed Software and shall be governed by this License Agreement. Any application specific code that you write shall not be considered part of the Licensed Software.

5.2 You agree to notify Sequiter with a descriptive summary of any improvements made to the Licensed Software within 30 days of the release of the improvements and agree to give Sequiter a copy of those improvements upon Sequiter's request.

6. Printed Documentation

You are authorized to print one and only one copy of the on-line documentation for your reference provided that you mark any such printed documentation clearly with your serial number and provided that you did not obtain a printed copy of such documentation from Sequiter or its distributors. In the event that you print a copy and then later obtain a copy of the same documentation from Sequiter or its distributors, you agree to destroy the copy that you printed.

7. Copyright

The Software and other accompanying materials, including but not limited to printed or electronic text and images, is owned by Sequiter or its suppliers and is protected by copyright laws and international treaty provisions. Consequently, you may not make copies of this copyrighted material except as expressly provided herein.

8. NO WARRANTIES

To the maximum extent permitted under applicable law, the Software and product items are provided "as is" without any kind of warranty. ICU uses the public domain data and code derived from Time Zone Database for its time zone support. The ownership of the TZ database is explained in BCP 175: Procedure for Maintaining the Time Zone Database section 7.
